Omniyat Solutions

1. Introduction and Scope

These terms and conditions apply to all services provided by Omniyat Solutions, including service calls, repairs, maintenance, technical support, and other work performed by Omniyat Solutions.

By doing business with Omniyat Solutions or using the company's services, the customer confirms that they have read, understood, and accepted these terms and conditions.

These terms and conditions form part of all agreements with Omniyat Solutions unless otherwise specifically agreed in writing.

In these terms and conditions, the term "customer" refers to an individual, company, organization, or other entity that requests or purchases a service from Omniyat Solutions.

Omniyat Solutions reserves the right to require a written agreement for specific services if deemed necessary. Such agreement shall be based on these terms and conditions unless expressly stated otherwise in the agreement.

2. Guard and Security Services

Omniyat Solutions provides services in the fields of security, technical call-outs, maintenance, repairs, and related service work according to further agreement with customers.

Omniyat Solutions strives to provide safe, reliable, and efficient service.

The service is provided by qualified employees of Omniyat Solutions or by subcontractors to whom Omniyat Solutions may entrust the execution of tasks.

Omniyat Solutions may engage subcontractors to perform services, and such subcontractors must meet the same standards and requirements that apply to Omniyat Solutions employees.

Omniyat Solutions assumes that the customer provides correct and sufficient information about the project and the conditions at the worksite.

The scope, timing, and execution of services are based on the information provided by the customer.

Omniyat Solutions does not guarantee that every issue can be resolved immediately or within a specific time, but will always make reasonable efforts to complete the work within the agreed or estimated timeframe.

All deadlines for completion of work or response times are estimates and depend on the circumstances at any given time, including the extent of the issue, access to the worksite, weather conditions, availability of personnel, and the scope of other projects.

Omniyat Solutions is not responsible for delays in the execution of services that result from circumstances beyond its control.

The customer is responsible for ensuring that Omniyat Solutions has access to the locations where the service is to be performed and that all necessary permits or approvals are in place, including approvals from landlords, property owners, building managers, or relevant parties where required.

The customer must also ensure that the conditions at the worksite meet safety requirements and allow Omniyat Solutions to perform the work without obstruction.

This includes ensuring that electricity and other necessary utilities are accessible as needed.

Omniyat Solutions reserves the right to refuse or stop work if the conditions at the worksite are inadequate, unsafe, or unsuitable for the performance of the service.

The customer shall bear the cost of any delay, additional visit, or further call-out resulting from such circumstances.

3. Offers and Contract Formation

All offers from Omniyat Solutions shall be made in writing, such as by email or letter, and shall specify the work and services included in the offer price.

An offer or cost estimate shall only be binding on Omniyat Solutions if it has been issued in writing and is valid within a specified period of validity.

Unless otherwise stated, the validity period of offers is 30 days from the date of the offer.

Omniyat Solutions may withdraw or amend an offer before the customer has accepted it.

A contract shall be deemed to have been concluded when the customer has formally accepted Omniyat Solutions' offer, such as by written consent, signing of a contract, or payment based on the offer, and such acceptance has been received by Omniyat Solutions.

After acceptance, the customer is obliged to comply with these terms and conditions and with the accepted offer.

If it becomes apparent after an agreement has been reached that the scope of the work is different from or greater than what was assumed in the offer, or that the assumptions have changed due to insufficient or incorrect information from the customer, Omniyat Solutions may require additional payment for the additional costs incurred.

Omniyat Solutions shall inform the customer of this as soon as possible and, where appropriate, submit a new or updated offer for the additional work.

4. Disclaimers Regarding Offers

To prevent misunderstandings and ensure transparency, the following general disclaimers apply to Omniyat Solutions' offers unless otherwise specifically stated in the offer itself.

Basis of Offers

Offers are based on the information, drawings, instructions, and data available from the customer at the time the offer is prepared.

If the assumptions change, or if it becomes apparent that the information was insufficient or incorrect, this may affect the price, schedule, and scope of the work.

Travel and Accommodation Costs

Travel time, driving costs, and possible accommodation or lodging costs for the project are not included in the offer price unless otherwise stated.

Such costs will be calculated separately according to Omniyat Solutions' price list or based on verifiable expenses incurred.

Continuous Work

Offers are based on the assumption that the work can be completed in one continuous work session as far as reasonably possible.

If this is not possible due to circumstances beyond Omniyat Solutions' control, and the work must be divided into several sessions, additional time and related costs may be charged separately.

This may apply, for example, where delays are caused by the customer, restricted access to the worksite, or other external factors.

Working Hours

Offers are based on the work being performed during normal daytime working hours on business days, unless otherwise stated.

If the customer requests that work be performed outside normal working hours, such as in the evening, at night, on weekends, or on public holidays, that work will be charged separately with the applicable surcharge according to Omniyat Solutions' price list.

Scope of Work

No work or service other than what is expressly stated in the offer is included in the price.

If the customer requests additional work or changes to the offer, such work will only be performed with the specific approval of Omniyat Solutions and will be subject to additional charges.

Programming and Settings

If the offer amount is based on programming, configuration, or setup of software or systems, the offer assumes basic programming or standard configuration unless otherwise specifically stated.

If the scope of programming is greater than assumed, this must be identified before the offer is accepted, and a programming description or functional specification must be available at the start of the work.

Testing and Inspections

Offers that include testing or inspection of systems or installations are based on the number of units or areas specified in the offer.

If it is not possible to complete all testing in one session due to conditions at the worksite, access limitations, or the customer's request for a phased setup, Omniyat Solutions reserves the right to charge separately for additional time and visits required to complete the testing.

Work Item Pricing

Work items in an offer are priced according to the applicable unit prices in Omniyat Solutions' price list at the time the offer is prepared.

Changes in official fees, labor costs, resource costs, supplier costs, or other cost factors before completion of the work may lead to a price adjustment where permitted under the offer or agreement.

Full Acceptance of Offer

Offers from Omniyat Solutions are based on the offer being accepted in full.

The customer may not accept only selected parts of an offer unless this has been specifically agreed with Omniyat Solutions in advance.

If the offer is not accepted unchanged and in full, Omniyat Solutions may adjust unit prices, terms, or conditions.

Transport and Site Delivery

Transport costs for materials, tools, or equipment required for the worksite are not included in the offer unless specifically stated.

Such costs will otherwise be added to the invoice according to the price list or actual expenses incurred.

Installation and completion at the worksite are based on normal site conditions.

If specialized tools, lifting equipment, scaffolding, cranes, lifts, or other special arrangements are required, such costs are not included unless expressly stated and may be charged separately.

Materials, Installation, and Completion

All materials, systems, and equipment used in connection with the service shall be connected, installed, configured, or arranged according to applicable standards, manufacturer instructions, and Omniyat Solutions' working methods.

Normal site conditions are assumed, including standard ceiling height and reasonable access.

If the work requires scaffolding, lifting equipment, or other specialized facilities beyond normal conditions, such costs are not included and may be added unless otherwise agreed.

Validity and Cost Changes

Unless otherwise stated, offers are valid for 30 days from the date of issue.

Prices in offers are based on cost levels and relevant supplier or market rates on the date of issue.

If significant changes occur in labor costs, resource costs, supplier costs, official fees, or other relevant cost factors between the date of the offer and completion of the work, Omniyat Solutions reserves the right to adjust the offer price accordingly where permitted by the offer or agreement.

Omniyat Solutions will inform the customer of such changes as soon as possible and allow the customer to review the agreement if the price change is significant.

5. Prices, Fees, and Payment Terms

All prices from Omniyat Solutions are exclusive of applicable taxes and fees unless otherwise specifically stated.

Applicable taxes, charges, or statutory fees may be added to quoted prices where required.

Omniyat Solutions reserves the right to change prices for services in accordance with changes in resource costs, wages, taxes, official fees, supplier costs, or other relevant factors.

Such changes in unit prices do not apply to offers that have already been issued and accepted unless the offer or agreement expressly allows for such adjustment.

Payments by Individuals

Unless otherwise agreed, an individual customer shall pay for the service upon completion of the work.

Omniyat Solutions may require individual customers to pay part of the price in advance or provide security before work begins, especially where significant cost or preparation is involved.

If invoices or payment notices are sent after completion of the work, payment shall be made within the payment deadline specified on the invoice.

A common payment period is 14 days, unless otherwise stated.

Payments by Companies and Institutions

Unless otherwise agreed, customers that are legal entities, including companies, organizations, and institutions, shall receive invoices for services provided.

The due date of an invoice is upon receipt unless otherwise stated on the invoice.

The final payment date is generally 14 days from the date of issue unless another payment period has been specifically agreed.

Companies may apply for account-based billing or longer payment terms, but Omniyat Solutions reserves the right to approve or reject such terms at its own discretion, including on the basis of payment history or risk assessment.

Late Payment

If payment is delayed beyond the final payment date, Omniyat Solutions is entitled to calculate late payment interest or charges on the overdue amount from the due date until the date of payment, where permitted.

Omniyat Solutions may also use collection measures for unpaid claims.

All costs resulting from collection, including collection fees, legal costs, and other costs arising from late payment, shall be added to the debt and paid by the customer where permitted.

If the customer has objections to an issued invoice, the customer must submit those objections to Omniyat Solutions within 7 days from the date of issue of the invoice.

Otherwise, the invoice shall be deemed accepted in full.

The customer is still obliged to pay the undisputed part of the invoice by the applicable due date, even if objections are raised regarding another part of the invoice.

If the customer does not pay on time or otherwise breaches the agreement or these terms, Omniyat Solutions reserves the right to suspend further services to the customer, postpone work, or, in the event of serious default or breach, terminate the agreement unilaterally with immediate effect.

In the event of termination due to the customer's breach, Omniyat Solutions retains the right to claim compensation and recover costs for work performed up to the date of termination.

Account-Based Billing

Omniyat Solutions may offer customers the option to pay through monthly invoices or agreed payment arrangements, such as for recurring services.

Such arrangements must always be based on a specific agreement.

Omniyat Solutions may request a credit assessment or payment assessment before approving such arrangements.

6. Cancellation or Postponement of Services

The customer may cancel or postpone an agreed service or project, provided that this is done with reasonable advance notice.

If scheduled work or a call-out is cancelled by the customer less than 24 hours before the work was due to begin, Omniyat Solutions reserves the right to charge a cancellation fee.

The same applies if an employee or representative of Omniyat Solutions arrives at the agreed location at the agreed time but cannot perform the work due to circumstances attributable to the customer, such as lack of access, the customer not being present, incorrect information, or the issue being different from or less than what was reported.

Such cancellation fee will generally be based on the minimum call-out cost according to the applicable price list, such as one hour of work and travel costs, unless Omniyat Solutions' actual cost is higher, in which case the fee may be based on the actual cost.

Omniyat Solutions will make reasonable efforts to find a new time for postponed service that suits both parties, but reserves the right to charge additional costs if the postponement causes extra travel, additional scheduling, or other costs for Omniyat Solutions.

7. Service Warranty, Defects, and Remedies

Omniyat Solutions warrants that work and services performed by it shall be carried out professionally and in accordance with applicable standards in the relevant field.

If the performance of a service is deficient or not in accordance with the agreement, the customer must notify Omniyat Solutions without undue delay.

Omniyat Solutions will then seek to remedy the deficiency, for example by correcting the work that was performed incorrectly, at no additional cost to the customer if the complaint is justified.

The customer must give Omniyat Solutions a reasonable period and suitable access to carry out such remedial work.

If Omniyat Solutions fails to remedy a defect in the service within a reasonable time, the customer may be entitled to a reduction in the service fee or, in the case of a material breach, termination of the agreement and/or compensation in accordance with general legal principles.

Where the service involves configuration, installation, inspection, or maintenance of systems or equipment, any manufacturer or supplier warranty is separate from Omniyat Solutions' service responsibility and does not limit the customer's rights.

Omniyat Solutions may provide a limited warranty on specific work if expressly stated in a contract or invoice.

Unless such warranty is specifically stated, no extended warranty is provided by Omniyat Solutions beyond what follows from the specific agreement.

8. Limitation of Liability

Omniyat Solutions limits its liability toward the customer, whether for direct or indirect loss, to the extent permitted by applicable rules and general legal principles.

Omniyat Solutions does not accept liability for indirect loss, consequential loss, or business loss that may arise from the use of services provided by Omniyat Solutions, unless such loss is a direct result of gross negligence or intentional misconduct by Omniyat Solutions.

Indirect loss includes, but is not limited to, loss of profit, loss of income, business interruption, lost opportunities, lost or damaged data, or other comparable losses resulting from an event.

Direct Loss and Maximum Liability

For companies and business customers, Omniyat Solutions' liability for direct loss is limited to the amount the customer paid or undertook to pay for the specific service from which the loss arose.

For individual customers, compensation shall be limited to what is reasonable and permitted under the applicable agreement and general legal principles.

In all cases, compensation shall never exceed the actual proven loss suffered by the customer and shall be limited to the extent permitted.

Exclusions from Liability

Omniyat Solutions shall not be liable for damage or loss attributable to circumstances outside its control.

Omniyat Solutions shall not be liable for damage or loss arising from:

* incorrect use, misuse, or improper handling of a system, service, or installation by the customer or a third party;
* negligence, accidents, natural disasters, break-ins, vandalism, or other external factors that cannot be directly attributed to the work of Omniyat Solutions;
* security incidents or damage occurring despite installed systems or services provided by Omniyat Solutions.

Although Omniyat Solutions provides services in the fields of security, maintenance, and technical support, it cannot guarantee that damage, accidents, failures, or security incidents will never occur.

Omniyat Solutions does not guarantee that any installed system, monitoring service, maintenance service, or security service will prevent all damage, loss, accidents, faults, or incidents.

Customers are advised to take reasonable precautions and maintain their own insurance coverage.

Force Majeure

Omniyat Solutions shall not be liable to the customer for non-performance or delays in performance resulting from events beyond Omniyat Solutions' control.

Such events include, but are not limited to, natural disasters, severe weather, fire, war, terrorism, work stoppages, strikes, epidemics, disruption of transport or telecommunications, failure by subcontractors or suppliers, shortage of materials or equipment, or other unforeseen circumstances beyond Omniyat Solutions' control.

If such circumstances arise, Omniyat Solutions shall notify the customer as soon as possible and take reasonable measures to reduce the effect on the service.

The obligations of Omniyat Solutions shall be postponed for a reasonable period or until the circumstances have passed.

Neither party shall be liable for damages due to delays resulting from force majeure events.

Neither party shall have the right to terminate the agreement unless the circumstances continue for an excessive period.

The above provisions do not limit Omniyat Solutions' liability where it is proven that the damage was directly caused by gross negligence or intentional misconduct by Omniyat Solutions.

In all cases, Omniyat Solutions' liability is limited to the extent permitted and shall never exceed the actual proven loss of the customer.

9. Changes and Right of Review

Omniyat Solutions reserves the right to make changes to its services, prices, and these terms as needed.

Price Changes

Omniyat Solutions may update its price list and charges for work and services at any time.

New prices take effect when an updated price list has been published on Omniyat Solutions' website or otherwise communicated to customers in a verifiable manner.

Price changes do not affect work already agreed or offers that have already been accepted unless such changes are specifically permitted in the relevant agreement.

If the customer has an ongoing service agreement with Omniyat Solutions, such as a subscription or recurring service arrangement, Omniyat Solutions may change the price for that service, provided that the customer is notified with reasonable advance notice of at least 30 days before the new price takes effect.

The customer is deemed to have accepted such changes if the customer continues to use the service or pay for it after the change takes effect.

Changes to Terms

Omniyat Solutions may review these terms regularly in response to changes in services, operational needs, company procedures, or other reasons.

If Omniyat Solutions changes these terms, the updated version will be made available on Omniyat Solutions' website or through other appropriate channels.

Omniyat Solutions will seek to notify regular customers of changes that affect their contractual position.

New or amended terms take effect from the date specified at publication.

If the changes are material and affect the contractual relationship with the customer, and the customer does not accept them, the customer has the right to terminate the agreement as of the effective date of the new terms, provided that notice of such termination is received by Omniyat Solutions before the amended terms take effect.

Otherwise, the amended terms shall be deemed accepted.

Changes to Work Methods and Service Execution

Omniyat Solutions reserves the right to change individual aspects of the performance of a service or work if necessary, including using another method, alternative technical approach, or equivalent materials or equipment required to perform the service, provided that such changes do not materially affect the nature or result of the work.

Such changes may be necessary, for example, if a planned method proves unsuitable, a newer and better technical solution becomes available during the work, or the original plan proves unrealistic due to unforeseen circumstances.

If the change affects the cost or schedule of the work, Omniyat Solutions shall inform the customer.

If additional cost arises, the customer's approval shall be obtained before the work continues.

If the customer does not agree to the additional cost resulting from unforeseen changes, Omniyat Solutions may discontinue the work in whole or in part without liability.

The customer shall then pay for work already performed up to that point.

10. Emergency Services and Special Projects

Omniyat Solutions offers emergency services outside normal working hours, subject to availability.

An emergency call-out is a request for immediate assistance due to unexpected circumstances that cannot reasonably wait, such as serious faults, security incidents, water leaks, or comparable urgent situations.

The customer may contact Omniyat Solutions in emergency situations through the emergency contact method provided by Omniyat Solutions.

Omniyat Solutions will try to respond as quickly as reasonably possible but does not guarantee fixed response times in all cases.

Priority is determined based on the nature and seriousness of the matter.

Services outside normal working hours are provided according to a special emergency call-out price list, which usually includes a higher call-out fee and/or overtime surcharge per hour.

The customer agrees to pay such charges when requesting emergency service.

A minimum charge may apply to emergency call-outs, such as a minimum number of working hours plus a fixed call-out fee.

Where possible, Omniyat Solutions will inform the customer of the estimated cost of an emergency call-out when the request is received.

If an emergency call-out is unnecessary or based on a misunderstanding, such as a false alarm, a minor fault, or an issue that has resolved itself, the customer remains obliged to pay the minimum call-out cost because Omniyat Solutions has already allocated personnel and time to the task.

Omniyat Solutions will charge only the actual cost, such as time spent on site and travel, if that amount is higher than the minimum fee.

Limitations of Emergency Services

In emergency situations, Omniyat Solutions may perform temporary repairs or urgent measures to prevent further damage rather than a complete final repair, especially if parts are unavailable or extensive work is required.

Such temporary solutions are intended for short-term use, and Omniyat Solutions does not accept responsibility for them as permanent solutions.

The customer agrees to allow Omniyat Solutions to complete a permanent repair as soon as reasonably possible according to agreement and to pay for the additional work required according to the applicable price list.

Special Projects and Custom Solutions

If Omniyat Solutions undertakes a special project or custom solution outside its regular scope of services, special terms or a separate agreement may apply.

Such special terms take precedence over these general terms to the extent of any conflict.

These general terms apply in all other respects.

Omniyat Solutions reserves the right to refuse projects that fall outside its service scope or that the company considers it cannot perform safely or properly.

11. Miscellaneous Provisions

Confidentiality and Data Protection

Omniyat Solutions and its employees shall treat all information received from customers as confidential.

Personal data relating to customers shall be used only for the purpose of providing the requested service and maintaining the business relationship, in accordance with Omniyat Solutions' privacy policy where applicable.

Omniyat Solutions will not disclose sensitive information to third parties unless the customer has consented to such disclosure or disclosure is required for a valid and appropriate purpose.

Governing Terms and Disputes

If a dispute arises between the parties regarding the performance or interpretation of an agreement or these terms, the parties shall first seek to resolve the dispute through good-faith negotiation.

If the matter cannot be resolved amicably, the dispute may be referred to a competent dispute-resolution forum or court as appropriate.

Entry into Force and Duration

These terms take effect from the date they are published by Omniyat Solutions and apply to all services and business relationships after that date.

Previous terms cease to apply from the effective date of these terms.

These terms remain in force while the contractual relationship continues and until all rights and obligations of the parties have been fulfilled.

Provisions that by their nature are intended to remain in effect after termination of the agreement, including provisions on limitation of liability, confidentiality, disputes, and general obligations, shall remain in effect after the contractual relationship ends.

Assignment and Change of Parties

The customer may not assign their rights or obligations under an agreement with Omniyat Solutions or under these terms to a third party without the written consent of Omniyat Solutions.

Omniyat Solutions may assign an agreement or individual aspects of a service to an affiliated company, related party, or third party in connection with the transfer of business operations, provided that the relevant party fulfils the obligations of the agreement toward the customer.

The customer shall be notified of such assignment where applicable.

Validity of Individual Provisions

If any provision of these terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the substance and purpose of the original provision, to the extent permitted.

Entire Agreement

These terms, together with the accepted offer, invoice, or any other written agreement between the parties, represent the entire agreement between Omniyat Solutions and the customer regarding the relevant service.

All oral agreements, statements, or promises are superseded by the written agreement and these terms.

If the customer has signed a separate service agreement with Omniyat Solutions, the provisions of that agreement shall take precedence over these terms to the extent of any conflict.

These terms shall apply to all matters not specifically addressed in such separate agreement.

By signing an agreement or confirming a request for service from Omniyat Solutions, the customer confirms that they have read these terms and agrees to comply with them.

These terms are published on the website of Omniyat Solutions and may be accessed at any time.

Omniyat Solutions also provides answers to questions about these terms by email upon request.
